The rules and guidelines for using our consulting services.

'The Company' refers to Alpha Logistics Consulting, Lda. 'The Client' refers to any individual, firm, or corporation who engages the services of The Company. 'Services' refers to the logistics consulting, auditing, and implementation support provided by The Company.
2. Scope of Services
The Company agrees to provide the Services as detailed in a mutually agreed upon Statement of Work (SOW). The SOW will outline the project objectives, deliverables, timeline, and fees. Any changes to the SOW must be agreed upon in writing by both parties.
3. Client Obligations
The Client agrees to provide The Company with timely access to relevant data, personnel, and facilities required to perform the Services. The Client is responsible for the accuracy of all information provided to The Company. Delays caused by The Client may result in adjustments to the project timeline and fees.
4. Fees and Payment
Fees for the Services will be set out in the SOW. Unless otherwise specified, invoices are payable within 30 days of receipt. The Company reserves the right to suspend Services for overdue accounts. All fees are exclusive of VAT and any applicable taxes.
5. Confidentiality
Both parties agree to keep confidential all information concerning the business, affairs, customers, clients, or suppliers of the other party. This obligation shall continue after the termination of the agreement.
6. Intellectual Property
All intellectual property created by The Company in the course of providing the Services shall remain the property of The Company. The Client is granted a non-exclusive, perpetual license to use any deliverables for their own internal business purposes.
7. Limitation of Liability
The Company's liability in respect of any loss or damage arising out of the performance of the Services shall be limited to the total fees paid for the Services. The Company shall not be liable for any indirect or consequential loss.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Portugal. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.
